Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the tokentoken website, API, and related services (the “Services”) provided by tokentoken OÜ (“tokentoken”, “we”, “us”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1.Eligibility & accounts
- You must be at least 18 years old and able to form a binding contract.
- You must provide accurate registration information, including legal name and, for organisations, a valid business identifier, and keep it current.
- You are responsible for safeguarding your API keys and for all activity under your account.
- We may reject, suspend, or revoke access for inaccurate information, legal violations, or conduct that harms the Services or our reputation.
2.Acceptable use
You agree not to use the Services to:
- Break the law or infringe others’ rights, including intellectual-property and privacy rights.
- Generate or distribute malware, spam, or unsolicited bulk communications.
- Create fraudulent, deceptive, or misleading content, or misrepresent output as human-authored where prohibited.
- Produce content that sexually exploits minors, incites violence, or facilitates serious harm.
- Reverse-engineer, resell, or circumvent rate limits, security, or usage controls of the Services.
- Misrepresent the capabilities, pricing, or performance of the Services.
3.Fees & billing
- Usage of the API is billed per token at the prices published on our website or in your order.
- Prepaid credits are consumed as you use the Services. Except where required by law, fees and credit top-ups are non-refundable.
- Any bank, transfer, or currency-conversion fees associated with payment are borne by you.
- Taxes are your responsibility unless we are legally required to collect them.
- We may change prices prospectively with reasonable notice.
4.Rate limits & fair use
The Services are subject to rate limits and quotas that vary by plan and model. We may throttle, queue, or reject requests to protect service stability, and may apply admission controls (for example, returning HTTP 429) during periods of high load. We may adjust limits to prevent abuse or ensure availability for all users.
5.Intellectual property & content
- Your inputs. You retain all rights in the prompts and content you submit (“Inputs”). You grant us a limited licence to process Inputs solely to provide the Services.
- Your outputs. As between you and us, you own the outputs generated for you (“Outputs”), to the extent permitted by law and by the licence of the underlying open-source model. You are responsible for how you use Outputs.
- Our IP. The Services, software, and trademarks are owned by tokentoken and its licensors. No rights are granted except as expressly stated.
- Model licences. Open-source models are provided under their respective licences, which may impose additional conditions on your use.
6.Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that Outputs are accurate, complete, or suitable for any purpose, or that the Services will be uninterrupted or error-free.
7.Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, tokentoken WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. Our total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to us for the Services in the three (3) months preceding the event giving rise to the claim.
8.Termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access, with or without notice, for breach of these Terms, suspected abuse, legal requirement, or risk to the Services. Provisions that by their nature should survive termination (including fees owed, IP, disclaimers, and liability limits) will survive.
9.Governing law & disputes
These Terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-laws rules. The courts located in Tallinn, Estonia will have exclusive jurisdiction over disputes, subject to any mandatory consumer-protection rights you have under local law.
10.Changes & contact
We may update these Terms from time to time and will post the revised version here with a new “Last updated” date. Continued use of the Services after an update constitutes acceptance of the revised Terms.
